Terms of Service
Effective date: April 7, 2026
These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you," or "your") and Simpliruta ("Simpliruta," "we," "our," or "us") governing your access to and use of the Simpliruta field service management platform, including any associated mobile applications and APIs (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business to use the Service. By agreeing to these Terms, you represent that you meet these requirements.
2. Account Registration
You must provide accurate, current, and complete information during registration and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@simpliruta.com if you suspect unauthorized access. We may suspend or terminate accounts that contain inaccurate information or that we believe have been compromised.
3. Subscriptions & Payment
Subscription Plans
Access to the Service requires a paid subscription. Plan details, pricing, and included features are described on our pricing page. We reserve the right to modify pricing with at least 30 days' notice to existing subscribers.
Billing
Subscription fees are billed in advance on a monthly or annual basis via our payment processor, Stripe. You authorize us to charge your payment method on file for all applicable fees. All fees are in USD and are non-refundable except as expressly stated in these Terms or required by law.
Failed Payments
If a payment fails, we will attempt to retry the charge and notify you by email. If payment remains outstanding after 7 days, we may suspend your access until payment is received.
Taxes
You are responsible for all applicable taxes associated with your subscription. Prices displayed do not include taxes unless stated otherwise.
4. Cancellation & Termination
Cancellation by You
You may cancel your subscription at any time from your account settings. Upon cancellation, your access continues until the end of the current billing period. No partial refunds are issued for unused days in the billing cycle.
Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms, engage in fraudulent or illegal activity, fail to pay fees when due, or if we are required to do so by law.
Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days following termination, during which you may request an export. After that period, your data will be permanently deleted in accordance with our Privacy Policy.
5. Acceptable Use
You agree to use the Service only for lawful business purposes and in compliance with these Terms. You must not:
- Use the Service to violate any applicable law or regulation.
- Upload or transmit content that is unlawful, defamatory, or infringes any third-party rights.
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
- Reverse engineer, decompile, or disassemble any portion of the Service.
- Use automated tools to scrape, crawl, or extract data from the Service.
- Resell, sublicense, or make the Service available to third parties outside your organization without our written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Send unsolicited commercial communications to your customers through the Service.
6. Customer Data
Ownership
You retain all ownership rights to the business data you input into the Service ("Customer Data"), including customer records, job orders, invoices, and contracts. We do not claim any ownership over your Customer Data.
License to Us
You grant Simpliruta a limited, non-exclusive license to host, process, and transmit your Customer Data solely to provide and improve the Service and as described in our Privacy Policy.
Your Responsibility
You are solely responsible for the accuracy, legality, and integrity of the Customer Data you submit. You represent that you have the right to provide that data to us and that doing so does not violate any third-party rights or applicable law.
Your Employees & End Users
You are responsible for ensuring that your employees, technicians, and any other individuals you grant access to your account comply with these Terms. Actions taken by your users are deemed your actions.
7. Intellectual Property
Simpliruta and its licensors own all right, title, and interest in and to the Service, including all software, user interfaces, documentation, and trademarks. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Service as expressly permitted herein. Feedback or suggestions you submit about the Service may be used by us without obligation or compensation to you.
8. Third-Party Integrations
The Service integrates with third-party services including Stripe (payments) and Twilio (SMS). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
9. Uptime & Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, emergency patches, and events beyond our reasonable control may cause temporary downtime. We will make commercially reasonable efforts to notify you in advance of planned maintenance. Support is available via email at contact@simpliruta.com.
10. Not Accounting Advice; No Guarantee of Accuracy
No Accounting or Tax Advice
Simpliruta is a field service management platform, not an accounting firm, tax advisor, or financial institution. Nothing in the Service — including invoices, revenue summaries, commission calculations, expense tracking, or any other financial outputs — constitutes accounting, tax, legal, or financial advice. You are solely responsible for the accuracy of your own books, financial records, and tax filings. We strongly recommend that you consult a licensed accountant or tax professional for guidance specific to your business.
No Guarantee of Calculation Accuracy
While we work diligently to ensure the Service performs calculations correctly, we make no warranty that financial figures generated by the Service are free from errors. Results depend entirely on the accuracy of the data you and your team enter. Simpliruta is not liable for any miscalculations, discrepancies, tax underpayments, penalties, or financial losses arising from incorrect, incomplete, or misleading data submitted through the Service. You are responsible for reviewing all outputs before relying on them for business or regulatory purposes.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLIRUTA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
13. Indemnification
You agree to indemnify, defend, and hold harmless Simpliruta and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English in Miami, Florida. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-app notice at least 14 days before the new Terms take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription before they take effect.
16. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simpliruta with respect to the Service and supersede all prior agreements.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure
We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
